Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.
In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by Sapien Labs Ltd and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Sapien Labs Ltd and accessing the Website in connection with the provision of such services.
You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.
Nature of the Service and Disclaimer
- The Service provides informational assessments and insights only. The Service does not make hiring decisions, and all outputs should be treated as one input among many in your recruitment process.
- You acknowledge that all employment and hiring decisions remain solely your responsibility. CultureTest makes no warranty or representation that use of the Service will result in successful hires, that assessments are predictive of job performance, or that the Service is suitable for any particular hiring decision.
- You are responsible for ensuring that your use of the Service, including any hiring decisions informed by the Service, complies with all applicable employment and anti-discrimination laws in your jurisdiction.
Intellectual Property
- All rights in the Service, including but not limited to algorithms, assessment methodologies, scoring models, software, data compilations, page layout, underlying code, documentation, and all other Content, are and remain the exclusive property of Sapien Labs Ltd, our affiliates, or other relevant third parties. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights.
- Subject to your compliance with these terms and conditions, Sapien Labs Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service during the term of your subscription solely for your internal recruitment and hiring purposes.
- You may, for your own personal, non-commercial use only, do the following:
- retrieve, display and view the Content on a computer screen
- download and store the Content in electronic form on a disk (but not on any server or other storage device connected to a network)
- print one copy of the Content
- You must not:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or data models from the Service;
- create derivative works based on the Service or any Content;
- sublicense, resell, lease, or otherwise transfer access to the Service to any third party;
- use the Service or any outputs to build, train, or improve a competing product or service;
- remove, obscure, or alter any proprietary notices or labels on the Service;
- otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content without the written permission of Sapien Labs Ltd.

- You shall not use the Service in any manner that discriminates against Candidates on the basis of any protected characteristic, including but not limited to race, ethnicity, national origin, gender, sex, sexual orientation, gender identity, age, disability, religion, or any other characteristic protected by applicable law.
- You shall not configure assessments or use any feature of the Service with the intention or effect of screening Candidates based on protected characteristics.
- You may not use the Website for any of the following purposes:
- in any way which causes, or may cause, damage to the Website or interferes with any other person's use or enjoyment of the Website;
- in any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, governmental order;
- making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner.
Registration
- You must ensure that the details provided by you on registration or at any time are correct and complete.
- You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you effectively.
- We may suspend or cancel your registration with immediate effect for any reasonable purposes or if you breach these terms and conditions.
- You may cancel your registration at any time by informing us in writing to the address at the end of these terms and conditions. If you do so, you must immediately stop using the Website. Cancellation or suspension of your registration does not affect any statutory rights.
Data Processing and GDPR Compliance
- Roles of the Parties. For the purposes of the GDPR, you (the Client) are the Data Controller and we (CultureTest) are the Data Processor with respect to the personal data of Candidates you process through our Service.
- Data Processing Agreement. The terms of the Data Processing Agreement, available at https://culturetest.com/data-processing (the "DPA"), are hereby incorporated by reference into, and form an integral part of, these Terms of Service. You acknowledge that you have read, understood, and agree to be bound by the DPA. By using the Service to process any personal data subject to the GDPR, you are instructing us to process that data on your behalf in accordance with the terms of the DPA.

- This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of Sapien Labs Ltd trading as CultureTest or that of our affiliates.
- We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.

Indemnification
- You shall indemnify, defend, and hold harmless Sapien Labs Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Service in violation of these terms and conditions or any applicable law, including employment and anti-discrimination laws;
- your hiring, employment, or other personnel decisions, whether or not informed by outputs from the Service;
- any claim by a Candidate or other third party relating to your recruitment, hiring, or employment practices;
- your breach of any representation or warranty in these terms and conditions;
- any data you upload to the Service or any use of the Service by you or anyone using your account.
Limitation of liability
- Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.
- We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.
- To the maximum extent permitted by law, Sapien Labs Ltd accepts no liability for any of the following:
- any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;
- loss or corruption of any data, database or software;
- any special, indirect or consequential loss or damage;
- any loss arising from your hiring or employment decisions, whether or not informed by outputs from the Service;
- any claims brought against you by Candidates or other third parties.
- To the maximum extent permitted by law, the total aggregate liability of Sapien Labs Ltd under or in connection with these terms and conditions, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (a) the total fees paid by you to Sapien Labs Ltd in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred pounds sterling (£100).
Force Majeure
- Sapien Labs Ltd shall not be liable for any failure or delay in performing its obligations under these terms and conditions to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
General
- You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.
- These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.
- These terms and conditions together with the Privacy Policy, Cookies Policy, and Data Processing Agreement contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.
- The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.
- If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.
- Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
- This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
